CONSTITUTION OF THE CANADIAN
TECHNICAL ASPHALT ASSOCIATION
- The Name of this Association shall be the "Canadian Technical Asphalt
Association".
- The Objects of this Association shall be:
- To provide a technical society that will encourage the exchange of
information on the characteristics and uses of asphalt materials and related
topics between its Members and between various segments of the bituminous
industry.
- To organize the efforts of its Membership on a nonprofit, public
service basis to assemble, correlate and disseminate technical information on
the characteristics and uses of asphalt materials.
- To conduct conferences at which the characteristics and uses of asphalt
materials are discussed.
- To stimulate and encourage research on the characteristics and uses of
asphalt materials.
- The Management of the Association shall consist of a Board of Directors
composed of no less than nine and no more than twelve Members, providing that
the five geographical regions of Canada, i.e. Atlantic Provinces, Quebec,
Ontario, Prairie Provinces, and British Columbia are suitably represented.
- Proposed amendments to this Constitution must be either signed by at least
fifteen Members in good standing or passed as a resolution by the Board of
Directors and submitted to the Secretary- Treasurer at least sixty days before
the Annual Meeting. The proposed amendments shall be mailed by the
Secretary-Treasurer to the Membership at least thirty days prior to the Annual
Meeting. The proposed amendments may be discussed and amended at the Annual
Meeting and passed to letter ballot, except where a meeting is required by The
Canada Corporations Act, Part II, by a simple majority of the Members present,
except where the Act requires a greater majority of votes. If the proposed
amendments are passed to letter ballot, two thirds of the Membership votes cast
within sixty days after mailing the ballot forms shall be necessary for their
adoption. Any amendments to paragraph 3 or 4 of this Constitution shall not be
enforced or acted upon until the approval of the Minister of Consumer and
Corporate Affairs has been obtained.
